A RESOLUTION AUTHORIZING THE COUNTY
ADMINISTRATOR TO "DEEM FINAL" FOR PURPOSES OF
RULE 15C2-12 OF THE SECURITIES AND EXCHANGE
COMMISSION THE PRELIMINARY OFFICIAL STATEMENT
TO BE DELIVERED TO THE UNDERWRITERS FOR THE
COUNTY' S PUBLIC IMPROVEMENT REFUNDING
REVENUE BONDS, SERIES 2004A (800 MHz EMERENCY
RADIO SYSTEM); PROVIDING AN EFFECTIVE DATE.
BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF ST. LUCIE
COUNTY, FLORIDA:
Section 1. Authority For This Resolution. This resolution is adopted pursuant to the
provisions of Chapter 125, Florida Statutes, County Ordinance 87-77, as amended, and other
applicable provisions of law.
Section 2. Findings. It is hereby found, determined, and declared by the Board of
County Commissioners (the "Board") of St. Lucie County, Florida (the "County") as follows:
A. The County is preparing to offer for sale its Public Improvement Refunding
Revenue Bonds, Series 2004 (800 MHz Emergency Radio System) (the "Bonds"), and in
connection therewith plans to deliver a preliminary Official Statement (the "Official
Statement") to the underwriters for distribution to potential purchasers of the Bonds.
B. Pursuant to Rule 15c2-12, promulgated by the U.S. Securities and Exchange
Commission (the "Rule"), prior to offering to purchase the Bonds, the underwriters must have
received an Official Statement "deemed final" (except for certain permitted omissions) as of its
date by the Board or its authorized representative.
C. It is necessary and desirable and in the best interests of the County and its
residents that the Board delegate to the County Administrator the authority to act on behalf of
the Board and to deem the Official Statement final as of its date for purposes of the Rule in
order to facilitate the offering of the Bonds for sale by the underwriters.
Section 3. Delegation of Authority to Deem Official Statement Final. The Board
hereby delegates to the County Administrator the authority to deem the preliminary Official
Statement "final" for purposes of the Rule and to deliver to the underwriter of the Bonds
sufficient copies of the preliminary Official Statement to allow the marketing of the Bonds.
Section 4. Effective Date. This resolution shall take effect immediately upon its
adoption.
PASSED AND ADOPTED at a meeting duly called and held this 19th day of October
2004.
