DEED OF CONSERVATION EASEMENT
THIS DEED OF CONSERVATION EASEMENT ("Conservation Easement") is given this
day of Octobe~, 2008, by Robert J Romanello, a ii~arried man whose mailing address is 5413 Whippers-
In-Trail, Pfafftown, NC 27040 and Don A Romanello, a single man whose mailing address is 1919-8
Blanding Blvd., Jacksonville, FL 32210 ("Grantor") to St. Lucie County, a political subdivision of the
State of Florida ("Grantee") having an address of 2300 ViYgulia. Avenue, Fort Pierce, FL 34982. As
used herein, the terin "Grantor" shall include any and all hei~s, successoYS ox assigns of the Gxantor,
and all subsequent owners of the "Conservation Area" (as hereinafter defined) and the term "Grantee"
shall include any successo~ or assignee of Grantee.
`WITNESSETH:
WHEREAS, the G~antox is the owner of certain lands situated i~ St. Lucie County, Florida, more
specifically described as follows and incorporated herein by this reference ("P~operty"):
The following described parcel less and except; the North 276.16 feet, being also the North 300.00
feet as measured along the Westerly Right of Way line for River Road, lying easterly of the Florida
East Coast Railroad Right of Way;
Beginning 247.5 feet South of the Northwest corner of Lot 1, Secrion 12, Township 36 South, Range
40 East; thence, run South along the West line of said Lot 1 to the Southwest corner thereof; thence
run East along the South line of said Lot 1 to a point 28 chains West of the waters edge of Indian
River, being the Southwest corner of the tract of land heretofore owned by MyYOn F. Munson;
thence, run North along the West line of said Munson tract 736 chains to the Northwest coxner of
said Munson tract; thence run East along the North line of said Munson tract to the waters edge of
Indian River; thence run Northerly following the waters edge of Indian River to the Southeast corner
of the tract of land heretofore owned by Eliza F. Ankeny, described on Page 146 of Deed Book DD,
recotds of Brevard County, Florida; thence run West along the South line of said Ankeny tract to the
West line of said Lot 1, being the point of beginning. Being a part of Lot 1, Section 12, Township 36
South, Range 40 East; AND
geginning 240 feet South of the Northwest corner of Lot 1, Secrion 12, Township 36 Soutli, Range
40 East; thence run South along the West line of said Lot 1 to the Southwest corner thereof; thence
nxn East along the South line of said Lot 1 to a point 28 chains West of the waters edge of Indian
River, being the Southwest corner of the tract of land heretofore owned by Myron F. Munson;
tlience run North along the West line of said Munson tract 7.36 chains to the Northwest corner of
said Munson tract; thence run East along the North line of said Munson tract to the waters edge of
Indian River; thence run Northexly following the waters edge of Indian River to the Southeast corner
of the tract of land heretofore owned by Eliza E. Ankeny, described on Page 146 of Deed Book DD,
records of Brevard County, Florida•, thence run West along the South line of said Ankeny tract to the
West line of said Lot 1, being the point of beginning. Being a part of Lot 1, Secrion 12, Township 36
South, Range 40 East.

Excepting from both of the above the rights-of-way of the FEC Railway and all public roads.
Also Less and Except those lands lying West of the Florida East Coast Railroad.
This property is not the constiturional homestead pYOperty of eithex Grantor.
And,
WHEREAS, the Grantox is agreeable to granting and securing to the Grantee a perpetual
Conservarion Easement as defined in Section 704.06, Florida Statutes, ovex the Conservarion AYeas
depicted in the attached Exhibit A; and,
NOW, THEREFORE, Grantor hexeby grants, creates, and establishes a perpetual ConseYVation
Easement for and in favox of the Grantee upon the Conservation A~ea which shall run with the land
and be binding upon the GYantox, and shall remain in full foxce and effect foYever.
The scope, natute, and character of this Consexvation Easement shall be as follows:
1. Recitals:
The recitals hereinabove set forth are true and coYrect and are hereby incorpoYated into and made a
part of this Conservarion Easement.
2: Pumose•
It is the purpose of this Conservatioil Easement to Yetain land ox water aYeas in their natural,
vegetative, hydYOlogic, scenic, open, agricultutal or wooded condition and to Yetain such areas as
suitable habitat for fish, plants or wildlife. Those wetland and/oY upland areas included in this
Conservation Easement shall be maintained in the conditions ~equired by the Management Plan.
To carry out this purpose, the following rights are conveyed to GYantee by this easement:
a. To enter upon the Conservarion Area at reasonable times with any necessary equipment or
vehicles to enforce the rights herein gYanted in a manner that will not unreasonably interfe~e
with the use and quiet enjoyment of the Property by Grantor and/or the future residents of
the Property at the time of such entry; and
b. To enjoin any activity on or use of the Conservarion Area that is inconsistent with tliis
Conservation Easement and to enforce the restoYarion of such a~eas oY features of the
Conservation Area that may be damaged by any inconsistent activity or use; and
c. To enter upon the prope~ty of the Grantor to connect the Conservation AYea to a bona fide
system of trails, greenways or otheY non-vehicular system.
3. Prohibited Uses:
Except fox exotic vegetation removal, replanting with appYOpriate narive vegetation, vine conttol,
trimmi_ng the vegetation along the dune cYOSSOVers and the western mulch walking path, removal of

txash and debris or other maintenance and monitoYing activities described herein that aYe permitted
or requiYed by the Resolution or the Management Plan, the following activities are pxohibited in or
on the Conservarion Area:
a, Construcrion or placing of buildings, ~oads, signs, billboards or other advertising, utiliries, or
other structuxes on o~ above the ground;
b. Ijumping or placing of soil or other substance oY material as landfill, oY dumping or placing
of tsash, waste, oY unsighdy or of€ensive materials;
c. Removal oY destruction of tYees, shrubs, or other vegetation, except foY the removal of
exotic or nuisance vegetation in accordance with the Management Plan;
d. Excavation, dYedging, or removal of loam, peat, gravel, soil, rock, or other material substance
in such manner as to affect the sw-face;
e. Surface use except for puYposes that perinit the land ox watex axea to remain in its natuYal or
enhanced condition;
£ Acrivities detr~mental to dxainage, flood control, water conservation, erosion control, soil
conservation, ox fish and wildlife habitat preservation including, but not limited to, ditching,
cliking and fencing.
4. Grantor's Reserved Ri~hts:
GrantoY xeserves all rights as owner of the Propexty, mcluding the right to engage in uses of the
Conservation Area that are not pYOhibited herein and which axe not inconsistent with any County
rule, criteria, perniit and the intent and purposes of this Conservarion Easement.
5. No Dedication:
No right of access by the general public to any po~tion of the Property oY the Conservarion Axea is
conveyed by this ConseYVation Easement.
6. Grantee's Liabilitv:
Grantee shall not be responsible for any costs or liabilities xelated to the operation, upkeep or
maintenance of the Conservatiori Area.
'7. Acts Bevond Grantor's Control:
Nothing contained in this instnunent shall be construed to entixle GYantee to bring any acuon
against Grantor for any injury to or change in any portion of the Property othex than Conservation
Areas that result from natural causes beyond G~antox's control, and not initiated by the Grantox,
including but not limited to fire, flood, storm and eaxth movement.

Grantor shall keep the payment of taxes and assessments on the Conservation Area cusrent and
shall not allow any lien on the Conser~ation Area superior to this Easement. In the event GrantoY
fails to extinguish or obtain a suboxdination of such lien, m addition to any other xemedy, the
GYantee may, but shall not be obligated to, elect to pay the lien on behalf of the Gxantor and
Grantor shall ieunburse Grantee for the amount paid by the Grantee, togetheY with G~antee's
reasonable attorney's fees and costs, with interest at the ma~mum rate allowed by law, no later than
thirty days after such payment In the event the GrantoY does not so reimburse the Grantee, the
debt owed to Grantee shall constitute a lien against the Conservation AYea which shall automatically
relate back to the xecoYding date of this Easement. Grantee may foreclose this lien on the
Consexvation Area in the manner provided foY moYtgages on real propeYty~.
9. Enforcement by Grantee:
Enfoxcement of the terms, provisions and ~estricrions of this Conservation Easement shall be at the
reasonable discretion of Gxantee, and any forbearance on behalf of GYantee to exercise its rights
hereunder in the event of any breach hexeof by GrantoY, shall not be deemed or construed to be a
waiveY of Grantee's Yights hereunder.
10. Maintenance Obli~ations of Grantor:

11. Assi i~ irnent•
Gxantee will hold this Conservation Easement exclusively for conservaiion purposes. Grantee will
not assign its rights and obligations under this Conservation Easement except to another
organizarion or entity qualified to hold such interests under the applicable state laws.
12. Severabilitv:
if any provision of this Conseivarion Easement or the applicarion thereof to any pexson or
ciYCUmstances is found to be invalid, the remainder of the provisions of this Conservation Easement
shall not be affected theYeby, as long as the purpose of the Conservation Easement is preseYVed.
13. Terms and Restrictians:
Grantor shall insert the terms and restrictions of this Conservation Easement in any subsequent
deed o~ othex legal instsutnent by which Grantox divests itself of any inteYest in the Property.
14. Written Notice:
All notices, consents, appYOVals oY other communicarions hexeunder shall be in writing and shall be
deemed properly given if sent by United States certified mail, return receipt requested, addressed to
the appropriate party or successor-in-interest.

'Tl~is Conservarion Easement may be amended, alteYed, released or xevoked only by written
agreement between the parties hereto ox their heirs, assigns oY successoYS-in-interest, which shall be
filed in the public xecords in St. Lucie County.
TO HAVE AND TO HOLD unto Grantee forever. The covenants, terins, conditions, restrictions
and purposes imposed with this Conservarion Easement shall be binding upon GrantoY, and shall
continue as a servitude Yunt~ing in perpetuity w~th the Property.
Grantor hexeby covenants with said Grantee that Grantox is lawfully seized of said Pxoperty in fee
simple; that the Property is free and clear of all encumbxances that are inconsistent with the terms of
this Conservation Easement; and all mortgages and liens have been subordinated to this Conservation
Easement; and that Grantor has good right and lawful authority to convey this Conservarion Easement;
and that it hexeby fully wat~ants and defends the tide to the Conservarion Easement hereby conveyed
against the lawful claims of all peYSOns whomsoever.

MORTGAGEE JOINDER, CONSENT AND SUBORDINATION
For Ten Dollars ($10.00) and other good and valuable consideration, the adequacy and receipt of
which are hereby aclcnowledged, Atlantic Coast Bank ("Mortgagee"), the owner and holder of
a Mortgage dated October 27, 2004, in the original principal amount of $370,000.00 given by
Don A Romanello encumbering a portion of the real property described on Exhibit "A" attached
hereto ("Property"), which is recorded in Official Records Book 2090, at Page 473, of the Public
Records of St. Lucie County, Florida (said mortgage, as modified, are hereinafter referred to as
the "Mortgage"), hereby joins in, consents to and subordinates the lien of its Mortgage, as it has
been, and as it may be, modified, amended and assigned from time to time, to the foregoing
Conservation Easement, executed by Don A Romanello and Robert J Romanello, in favor of St.
Lucie County applicable to the Property ("Easement"), as said Easement may be modified,
amended and assigned from time to time, with the intent that the Mortgage shall be subject and
subordinate to the Easement.
