LUCIE COUNTY, FLORIDA AND MADISON VINES, LLC, FOR ROAD IMPACTS IN CONNECTION WITH THE MADISON VINES DEVELOPMENT This ROAD IMPACT FEE CREDIT AGREEMENT is made and entered into as of this day of August, 2009, by and between ST. LUCIE COUNTY, FLORIDA, a political subdivision of the State of Florida, hereinafter referred to as "St. Lucie County" and MADISON VINES, LLC, a Florida limited liability company, hereinafter referred to as "Madison Vines, LLC." WITNESSETH WHEREAS, "Madison Vines, LLC" is the contract purchaser of certain real property owned by Eduardo Leal located on the south side of Tumblin Kling and on the east side of Oleander Avenue a portion of which has been identified by "St. Lucie County" as being needed for the future widening of Oleander Avenue; and, WHEREAS, on February 2, 2009, "Madison Vines, LLC" received approval of Site Plan ("the Site Plan Approval") from the Fort Pierce City Commissioners to construct a 92 unit affordable housing complex for the elderly at 4202 Oleander Avenue (the "Property") which parcel is described in Exhibit "A," (the address was subsequently changed to 955 Tumblin Kling Road); and, WHEREAS, the Site Plan Approval references Oleander Boulevard in three (3) places, this is one and the same roadway known as Oleander Avenue on the maps of the St. Lucie County Tax Assessor and which is the subject of this Agreement; and, WHEREAS, Condition Number 2 of the Site Plan Approval pursuant to the City's inter- cooperation agreement with "St. Lucie County," requires "The Road Impact Fee shall be paid to St. Lucie County for traffic impacts to Midway Road prior to the issuance of a building permit'; and, WHEREAS, Condition Number 4 of -the Site Plan Approval pursuant to the City's inter- cooperation agreement with "St. Lucie County," requires "A Proportionate Fair Share contribution for construction of an eastbound left turn lane at the intersection of Tumblin Kling and Oleander Boulevard"; and, WHEREAS, Condition Number 5 of the Site Plan Approval pursuant to the City's .inter- cooperation agreement with "St. Lucie County," requires that within 60 days of site plan approval for the "Property" is approved by the City, the property Owner/Applicant is to convey to the County the westerly 35 feet of the "Property" along Oleander Avenue for future road right-of-way Road Impact Fee Credit JOSEPH E. Leal and the Applicant is Madison Vines, LLC; and, WHEREAS, Madison Vines, LLC, agrees to pay the road impact fees prior to obtaining a building permit from the City of Fort Pierce pursuant to Condition Number 2 of the Site Plan Approval and "St. Lucie County" agrees to accept the early payment of the road impact fees for this purpose; and, WHEREAS, Madison Vines, LLC, agrees to pay prior to the issuance of a building permit the Proportionate Fair Share contribution in the amount of $551.11 pursuant to Condition Number 4 of the Site Plan Approval for construction of an eastbound left turn lane at the intersection of Tumblin Kling and Oleander Avenue based on the "Madison Vines Proportionate Fair Share Calculations" prepared by Susan E. O'Rourke, P.E., dated March 2, 2009, attached hereto as Exhibit "B". The term "Proportionate Fair Share contribution" as used in this Agreement is in accordance with its use in the Site Plan Approval by the City of Fort Pierce and is not intended to obligate "St. Lucie County" to incorporate the related improvements in its current or future capital improvement plans; and, WHEREAS, Madison Vines, LLC, agrees to cause Eduardo Leal to convey to St. Lucie County for right-of-way purposes free and clear of liens and encumbrances a 35-foot strip along the frontage of the "Property" on Oleander Avenue as described in Exhibit "C," attached hereto, prepared by William B. Zentz, PLS, dated March 2, 2009, and "St. Lucie County" agrees to accept the dedication of said strip of land under the conditions set forth below; and, WHEREAS, Madison Vines, LLC, agrees to cause Eduardo Leal to convey to St. Lucie County for right-of-way purposes free and clear of liens and encumbrances a 15-foot strip along the frontage of the "Property" on Tumblin Kling Road as described in Exhibit "D," attached hereto, prepared by William B. Zentz, PLS, dated March 2, 2009, and "St. Lucie County" agrees to accept the donation of said strip of land for roadway right-of-way purposes; and, WHEREAS, "St. Lucie County" has adopted a "Roads Impact Fee Ordinance" which imposes impact fees relating to public transportation facilities; and, WHEREAS, Section 1-17-33.1 (c) of the Code of Ordinances of St. Lucie County provides for credits for the provision of non-site related right-of-way dedications on those roadways that are a part of the County's Roads Impact Fee Eligibility network; and, Road Impact Fee Credit RIF 09-003 FINAL Page 2 WHEREAS, Oleander Avenue is part of St. Lucie County's Road Impact Fee Eligibility network; and, WHEREAS, This Board does hereby determine that the right-of-way dedication is a non-site related right-of-way dedication and that it is to the behefit of the county and public at large; and, WHEREAS, bases on the provisions of Section 1-17-33.1 (c) of the Code of Ordinances of St. Lucie County, the value of the dedicated right-of-way for the future widening of Oleander Avenue, is computed as follows: Madison Vines, LLC Impact Fee Credit Comparison Table Parcel Data Parcel ID 2434-332-0002-000-3 Assessed Value (2008) $652,400.00 (land only) Parcel Size 9.2826 Acres 404,350 Sq. Ft. Assessed Value/Acre , $70,284.06 Assessed Value/Square Foot $1.6135 Oleander Avenue ROW area of Conveyance 0.5158 Acre 22,470 Sq. Ft. Value of Conveyance (at 120% value computation) $43,506 WHEREAS, "Madison Vines, LLC" and "St. Lucie County" are desirous of establishing the amount of credit that "Madison Vines, LLC" shall be entitled to for the value of the dedicated right- of-way for the future widening of Oleander Avenue; and, WHEREAS, based on the provisions of Section 1-17-33.1 (b) (3) of the Code of Ordinances of St. Lucie County, no credit shall exceed the amount due for the road impact fee; and, NOW, THEREFORE, in consideration of the mutual covenants entered into be to be made and performed, and in consideration of the benefits to accrue to agreed as follows: Section 1 Incorporation by Reference. The above recitals are true and correct and made a part of this Agreement by reference. Road Impact Fee Credit RIF 09-003 FINAL Page 3 Section 2 Amount of Road Impact Fee Credit. Upon conveyance to and acceptance by St. Lucie County of the right-of-way for Oleander Avenue and Tumblin Kling Road, "Madison Vines, LLC" is entitled to a credit against Road Impact Fees in the amount of $43,506.00 under the criteria set forth in Section 1-17-33.1 (c) (6) of the Code of Ordinances of St. Lucie County for the dedication of certain right-of-way associated with the expansion of Oleander Avenue. Upon payment to St. Lucie County of the Proportionate Fair Share contribution in the amount of $551.11, "Madison Vines, LLC" is entitled to a credit against Road Impact Fees in the amount of $551.11. The total Road Impact Fee Credit shall be in the amount of $44,057.11 ($43,506.00 and $551.11). Section 3 Timing of Payment of Road Impact Fees. "Madison Vines, LLC" shall pay Road Impact Fees less the Road Impact Fee Credit prior to receiving a building permit from the City of Fort Pierce for the Madison Vines development. Section 4 Limitation of Road Impact Fee Credit. The credit established by this Agreement is limited solely to the property legally described in the attached Exhibit "A", and is not transferable to any other property owned by "Madison Vines, LLC" or Eduardo Leal in St. Lucie County. The credit may only be applied against Road Impact Fees and shall not be transferable as a credit against other impact fees imposed for purposes other than roads. -The credit established by this .Agreement represents the maximum values associated with the dedication of certain right-of-way associated with the expansion of Oleander Avenue. This credit may be drawn down through the issuances of any one, or more, buildings permits requiring the payment of a Road Impact Fee, up to the value of the credit. In the event that any application for building permit results in a Road Impact Fee in excess of the cited credit value, the applicant for said building permit shall be responsible for any fees due above the original or remainder credit value. Section 5 Assignability of Road Impact Fee Credit. In the event "Madison Vines, LLC" does not acquire the "Properly" pursuant to its contract with Eduardo A. Leal, "Madison Vines, LLC" may assign all or part of the credit described in Section 2 above to Eduardo Leal, the current owner of the "Property," or its successors in title or interest to the "Property." Such assignment shall be by recordable written instrument. Before the assignment Road Impact Fee Credit RIF 09-003 FINAL Page 4 is effective, a copy of the assignment shall be provided by "Madison Vines, LLC" to "St. Lucie County" and the City of Fort Pierce at the addresses set forth below and the original assignment shall be recorded in the public records of St. Lucie County: County Administrator City Manager 2300 Virginia Avenue 100 N. County" in the public records of St. Lucie County, and shall be binding upon "Madison Vines, LLC" and any successors in interest and title to the "Property." Section 7 Termination of Agreement. This Agreement shall be effective until all of the Road Impact Fee credits authorized under Section 3 have been consumed through the issuance of building permits or similar development . approval IN WITNESS WHEREOF, the parties hereto have executed this Agreement by their duly authorized officials as of the day and year first above written.
