The parties hereto agree that each is familiar with all
assets and liabilities of the above named Corporation. '

The Purchaser does hereby Rgree to assume an~nd all
debts or obligations or liabilities of the Seller arising out
of more tra~saction8 or events or occurrences made or participated
in by the Seller on behalf of said Corporation, and to indemnify
and save hRrml~ s s the Se ller from any claims or judgments whl ch
rn~y arise out of any such obligations, claims or liabilities.

Seller to the Purchaser of all shares of stock, interest in or
