MEMORANDUM AGREEMENT

THIS MEMORANDUM AGREEMENT, Made and entered into this
I day of March, A. D. 1961, by and between AR6HIE GROVER and
ESTHER GROVER, his wife, of Fort MyerB, Lee Count~, .Florida,
First Parties, and WALKER FERTILIZER OF FLORIDA, INC., a Florida
corporation with its principal place of business at Orlando,
Orange County, Florida, hereinafter referred to as Second Party:
WIT N E SSE T H:
That for and in consideration of the mutual covenants

hereinafter set forth, the parties hereto mutually covenant and
agre~ as follows:
1. That First Parties are principally performing and

cultivating a tract of land in Saint Lucie, Florida, which land
was formerly cultivated and a farming operation thereon was con-

ducted by Charl~s A. Oliver; that First Parties have acquired all

right, title and interest of the said Charles A. Oliver in said
farming operation and are now the sole o~ners of the farming
operation on said property and also all farming equipment current-
ly being used in connection with said farming operation;
2. That during the period that a far~tng operation was
conducted by Charles A. Oliver, Second Party furnished fertilizer
and other materials in connection with said farming operation,
for ~hich the said Charles A. Oliver became indebted to Second
Party in the sum of Five Thousand Dollars ($5,OOO.OO~ which said
indebtedness has not been paidj
3. That in consideration of Second Party furnishing

the farming operation presently beL~ carried on by First Parties
and also in consideration of First Parties acquiring the said
farming operation from ~aarleB A. Oliver, First Parties covenant
and agree with Second Party as follows:
