B., Simultaneously with the ex~out1on of this Agree-
ment, First Parties have purchased fertilizer and materj,als from
WALKER FERTILIZER OF FLORIDA~ INC. in the amount of Five Thousand
Dollars ($5,000.00);
C. That First Parties have simultaneously with the
execution of this Agreement executed and de11v~red to W~,FER-

TILIZER OF FLORIDA, mc. a promissory note in the amount of Ten
Thousand Dollars ($10,000.00) due ninety (90) days after date,
bearing interest at the rate of Six Percent (~) per annum, ~1d a
chattel mortgage covering certain equipment owned by First Part-
ies as collateral security fo~ the payment of said Ten Thousand
Dollars ($10,000.00); and
D. That this Memorandum Agreement is entered into
for the specific purpose of evidencing the intent of First Parties
to ussume and agre8 to pay the above mentioned Five Thousand
Dollars ($5,000.00) indebtedness from Charles A. Oliver to WALKER
FERTILIZER OF FLORIDA, mc.
This Agreement shall be binding upon the heirs, personal
representatives, successors, and assigns of the parties hereto.
ll~ WITNESS WHEREOF, the First Parties have set their
hands and seals, and Second Party has caused this Agreement to be
signed by its President and its corporate seal affixed this -L--
