AGREEMENT, made and entered into this ~ day or

New York, New York, party of the first part, hereinafter referred
to as the "Seller", and SOUl'HERN FRUIT DISTRIBUTORS INC., a
whose address 1s P. O. Box 8361, Orlando, Fla.
Florida corporat10n,jor its nominee or assigns, party of the second

"Seller" and "Purchaser" shall include and bind the successors and
assigns of the respective parties hereto wherever the context

WHEREAS, the Seller i8 the owner of certain unimproved real
estate located in St. Lucie County, Florida, and has agreed to
sell a portion of said real estate to P'lrchaser and to grant to
purchaser an option to purchase another portion of said real estate
in accordance with the terms hereinafter set forth,
NO~, THEREFORE, in consideration of the mutual promises
hereinafter set forth, and for other good and valuable considera-
tion, it 1s agreed between the parties as follows:
ARTICLE I
SALE AND PURCHASE OF REAL ESTATE
1. The Seller agrees to sell and convey to the Purchaser
and the Purchaser agrees to buy from the Seller on the ,terms and
conditions set forth herein, the followirlg describeu property
situate, lyin~ and being i~ st, Lucie County, Florida, to wit:
Sections 27, 28, 33 and 34, all in Township 37
South, Range 38 East, in st. Lucie County, Florida,
excepting therefrom a strip of land running East
and ~est across the southerly portion of Sections
33 and 34, Township 37 South, Range 38 East, as :
des~ribed in a conveyance (Warranty Deed) to Central
and Southern Flcrida Flood Control District, Canal
C 23, as shown by Deed recorded in Deed Book 165,
Page 3c7, St. Lucie County, Florida, Public Recorda,
