performance 01 this a<jreement is 01 the eSSt.once and particularly where the payment 01 money is rC4ulrl'd. Instead
01 electmg to cancel the contract and retain all.payments theretolore made as liquidated and G<,lreed upon
damages, the Subcbvider may elect, allN havin9 yiven the sarno GO-day notice lirst heremabove referred to, to
accelerate and call due the entire unpaid b<dances due :lereunder. and. in the event of such election. the SubdJvldtlr
may have such other rights and remedies as the law aUords to a vendor of a land cc.ntract against a vendee thereol
in default.

in writing and any attempted auignment without Subdivider's wri"en conaent will be a nullity, A traru!fer by
operation 01 a law wili not be deemed such a tranafer as is forbidden hereby without the wri"en consent of the
Subdivider lirst had and obtained; nor shall anything herein contained be construed as varying or altering any
of the other terms of this agreement il the Subdividers, upon written application 01 ine purchaSE'r ronsents to a
transfer; but in any event. any tranaJeree shall immediately become obligated to perform and shall be bound by
all of the terms hereof.
The words "Purchaser:' "Subdivider:' "Agent" and "Broker" shall be construed to include the plural as well
011 the singular, and the word "his" shall include "her:' "its," and "their" wherever applicable herein, and this
mall be binding Upa'1 the heirs, pereonal repeeentativea, aucceaaora, CJCffitinistrators. executors 01 the parnes. and
aaaiqna (the term "asaigna" as applied to the pu.rchaaer meaning any transferee of the purchaser by operation
01 law or <my other tranaferee 01 the purC'.haaer, tranal.r to whom shall have been consented to in writing by the
Subdivider).
This application constitutes the entire agreement between the parties and may not be chanqed orally. It fTlOY
be ch:mged only by agreement in writing signed by the parties aqainst whom the enforcement 01 any waiver,
chanqe. modilicr::tion or dischargoe IS sought. No waiver 01 any provision of this aqreement shall ~ construed as
a continuing waiver of such provision on any subsequent ocoaaion unless such waiver is in wtiting and states
explicitly that it is intended to modify this agreement. The Subdivider is not liable or bound in any manner by
exprass or implied warranties, guarantees, promises, statemen!s, rfU)resentations, or information pertaining to said

purporting to represent the Subdivider, except as such warranties, guaranbes. promises. statements, representations

The parties hereto agree that this aqreement is made in Florida and it shall be construed as a Florida contract
and shall be governed by and cor&.:.trued according to the laws of Florida.
Notice which either party desires to give \.:nto the other must be in writing; and it may be given either by
personal delivery or by mail, addressed to the parties as follows:

For the PURCHASER: At the address hereinabove indicated as such;
and If such notice b3 given by United States Registered Mail. with return receipt requested, then and in such event
