7. Transferor's obligations to the holder of Exhibit A prior to this tranaf'er. are not hereby diminished or releued
and shall not be affected by any su~uent transfers or assignments or 41\Y indula:ence, compromise, extension of
credit or variation of the terms &ranted Transferee or a"'&neea whether or not !P'anted with prior notice to or with
the lmowleda:e or consent of Transferor.
8. If Group Creditor Life Insurance baa been iuued under Exhibit A and the Transferee has executed the Request
for Creditor Life Insurance hereinafter let forth and baa qualified for aa.'I1e, then it is understood that (in accordance
with the proviaiODll of the Group Creditors Insurance Policy issued by the Prudential Insurance Company of America
, dellCribed in one of the paral"8Phs under the provisions on the reverse aide of Exhibit A) upon acceptance and approval
of this transfer by YELLOW. asaia:nee of Seller under Exhibit A and present holder thereof, (I) all insurance provided on the
Transferor's life under said Policy shall automaticalty terminate and (2) the life of the Transferee shalt become insured,
providing, however, that such insurance shall be limited to the amount in effect at the date of such acceptance and
approval by YELLOW on the life of the Transferor under Exhibit A. By aa:reement between Tranaferor and Transferee,
the portion of the charee for Credit Life lnauran~ under said Policy payable or paid by Transferor applicable to the
period covered by such charae but with respect to which no covera&e ia to be provided on Transferor's life has been
. credited as of the date hereof to the char&e for Creditor Life Insurance to be effected on the life oL.__.__.__________..._______.

Should such Creditor Life Insurance not be in effect under Exhibit A. the ori&inal term of E:iliibit A is not in exceaa
of 36 month., and the Transferee baa executed the Request hereinafter eet forth, then, usumina: the TrllDsleree qualifies
for said insurance, the amount of insurance on the life of ~ Tranaf'eree with respect to this debtedness will be determined
as follows: (I) if the ori&inal outatandin& balance due: under Exhibit A w.. $10,000 or leas, the amount of insurance
wilt be the amount neceaaary hereunder to diac:har&c the indebtedneaa, reduced, however, by the sum of all instal menta
which ue mqre thtn one month overdue. (2) if the oripnal outatandin& balance due under Exhibit A exceeded $10,000,

The only obliption of Y&U.QW to Tranaferee with reprd to Creditor Life Insurance for which a charae ia
included herein, but which for any rea~ i. unavailable or partly unavailab~e ~nder t.~ Policy, will be to deduct the
applicable portion of the chor&e for Creditor Life IQlUrance specified hereia'trom the amount due YELLOW L.d let
forth under Provjsion 5 hereof' and to credit Transferee with the payment theteor.
