by the Trustee, the Cou~pany shall not redeem any Bonds of the
192 Series if such redemption is carried out directly or indirectly
as a part of, or in anticipation of, any refunding operation in-
volving the incurring of indebtedness by the Company or an affili-
ate of the Company unless such -Bonds are so redeemed (a) on
or after .Ianuary 1, 1967 or (b) prior to January 1, 1967 and the
interest rate or cost of money to the Company or such affiliate
(computed in accordance with accepted financial practice) with
respect to the indebtedness so incurred is more than 53/.x% per
annum, and (ii) if all the Bonds of the 1982 Series at file time
ontstttndiug shall be coupon Bonds registered as to principal or
rc~Ristered Bonds without coupons, then, in lien of such puhlication,
sucl- notice may be given ley mailing fire same to the registered
holders of the Bottds to be redeemed not more than 60 and not
less than :t0 c?sys before the redemption date, subject in either case
to all the provisions and conditions of the Indenture. The op-
