said merger being effective at the last moment of December 31, 1963.
I FURTHER CERTIFY that the following is the first paragraph of
Article VI of said Agreement and Plan of Merger, as filed fn this
office December 31, 1963. '
ARTICLE VI ~
Corporate Existence, Powers, and Liabilities
~ of Surviving Corporation
On the effective date of the merger, the separate existence of
Rwik-Chek shall cease and it shall be merged into 2828, which shall
possess all the rights, privileges, powers, and franchises as well
of a public as of a private nature, and be subject to all the
regtrictions, disabilities, and duties of each of the constituent
corporations so merged, and all and singular,~the rights, privileges,
powers, and franchises of each of the constituent corporations, and
all~property, real, personal, and mixed, and all debts due to-any of
. the constituent c~rporattons on whatever account, as well fot stock
subscriptions as all other things in action or belonging to each of
the cQnstituent corporations, shall be vested in the surviving
corporation. _
I FURT'HER CERTIFY that RWIK-CHEK RFALTY COMPANY. INC., a Nevada
~orporation, is in good standing in this State as a subsisting
: corporation as of the date of this certificate. "
