I here by resign as Co-Trustee under that certain INDEN-
TURE, dated July 1, 1941, by Inter-County Telephone & Tele-
~raph Company to American National Bank and Trust Company of
Chicago, Trustee, and Fontaine LeMaistre, as Co-TrusCee; and
~~,~elve (12) Supplemental Indentures, which said original and
twelve (Z2) Supplemental Indentures are all and each separately
r~corded as required by said INDENTURE, as Supplemented, in ~
the public r~cords of the var3.ous Counties in the State of
Florida.
This resignaCion is to become effective i~nediately upon
its acceptance by the Company and the Trust~e and the appoint-
ment by the Company and Trustiee of my successor Co-Trustee
pursuant to the provisions of Article XVI o£ the original
INDEN'1 LtRE .
