KNOW ALL MEN BY THESE PRESEHTS T~iAT:
WH~REAS, B~UE GOOSE GROW£RS, INC.~ a De~.aware corporation,
hereinafter referred to as "Blue Goase", and Ti~ornas Davis

hereinafter referred to as "Mortgagor", have heretofore entered
into an A~reement date~ Jan~.zary 1, 196E, and recorded in
Official Records Book ~1 , Pa~e ~!-27 , Public Records of St. Lucie
County, Florida; and
WHERERS, the hereinabove d~scribe~ Agreement grants unto Blue
Goose a lien on the real property described in Appendix "A" which ,
is attached hereto and made a part hereof for all purposes; and
WHEREAS, the hereinabave d~scribed f~greement pravides among
other things that there shall be no encumbrances, liens or other
c~laims~~ a~~~ns~ the crops naw ~rowin~ or hereinafter growing on
the real property described in Appendix "A"; and
WHEREAS, Mortgagor has applied to Th2 Mutual Life Insurance
Company of New York, a New York corporation, hereinafter referred
to as r'OI~lY, for a mortgage loan on the real propPrty described in
Appendix "A", in the ori~inal principal amaunt of S 20,0OO.OG
which mortga~;e is dated ,~~szc 19u5 and recorded
under Clerk's ido. : l~,',~ L5
~ Public Records of St. Lucie
County, ~lorida, and
WHLR~AS, MONY required that the lien of its mort~a~e be a
first lien on the real property described in Appendix "A" and
has requested Blue Goose to subordinate the terms and provisior~s
of the A~reement hereinabove described, including specifically
b~t not limited to those cer~~in terms and provisions which,

respectively, therein ~rant a lien on the real property d~scribed
in Appendix "A" and ~rohibit ~ncumbrances, li~ns or claims of
