SUBdRDINATION OF AGREEMENT
KNOW A~,L MEN BY 1'HESE PRESENTS THAT:
WHEREAS, BLUE GOOSE GROWERS, INC., a Delaware corporation,
hereinafter referred to as "Blue G~ose", and

herexnafter referred to as "Mortgagor", have heretofore entered
into an A~reement dated 1~eUruary 1, 19G5 and recorded in
Official Records Book 113, Page274 , Public Records of St. Lucie
County, Florida; and

WHEREAS, MOAiY required that the lien of its mortga~e be a
first ii~n on the real p.roperty describe~ in Rppendix "A" and
has requested ~lue Goose to subordinate the terms and grovisions
of the A~reement hereinabove describa~d, including specifically
