ARTICLE XI
No shares of common stack held by any stockholder shall be
sold, transferred, assigned, or otherwise disposed of without said
stockholder first offerinq to sell said atock held by hicn to the
remaining stockholders, pro ra~a, at a price not to exc~efl the
actual value of said stock, as determined by audit. Said remaining
stockholders shall. after receipt of said offer, which shall be in
writing, have sixty (60) days in which to p1s chase the stock so
of f ered.
