Bonds of th~ Seventeenth Series s~all be transferable (subject to the provi-
sions of Section 12 of the Mortgage) at the office or agency of the Company
in the Borough of Manhattan, The City of New York.
Upon any transfer or exchange of bonds of the Seventeenth Series, the
Company may make a charge therefor sufficient to reunburse it for any tax or
taxes or other governmental charge, as provided in Section 12 of the iVlort-
gage, but the Company hereby waives any right to make a c~arge in addi-
tion thereto for any e~change or transfer of bonds of the Seventeenth Series.
ARTICLE II.
5inking or Ymprovement Funcl for Bonds af tf~e Seventeenth Series.
SECTION 2. The Company covenants that, ssa loag as any of the bonds
of the Seventeenth Series shall remain Outstanding, it will, on or before
December 1, 1971 and on or before December 1 of each year thereafter,
to and in~luding the year 1994, deliver to the Corporate Trustee:
(A) An Officers' Certificate which sha11 state:
( a) the greatest principal amount of all bonds of the Seventeenth
Series prior to January 1 of such year at any one tirue Outstanding;
(b) ths aggr~gate princip~l amount of all bonds of the 5evem-
teenth Series retired prior to the date of such Officers' Certificate
pursuant to the provisions of subdivision (3) or subdivision (4) of
Section 61 of the Mortgage by use or application of the proceeds ~f
insurance on, the release or other disposition of, or the taking by
eminent domain of, property, or pursuant to the provisions of Section
64 of the Martgage;
(c} the aggregate principa~l amount. of bands the right to the
authentication and delivery of which (on the basis of the retirement
af bonds of the Seventeenth Series) shall have been waived prior to
the date of such Oflicers' Certif cate pursuant to the provisions of
clause (c) of subdivision (4) of Section 59 af the Mortgage as tke
basis of' the release of property or pursuant to the provisians af
subdivisian ( 2) of Section 61 of the Mortgage as the ba?sis of the
