If Indian River fails to elect the purchase within the time provided. and Chrysler accepts the offer and a closing of the eale of the property takes place, then all of Indian River~s rights pursuant to this agreement shall cease and terminate, and this agreement ahall not apply to any future sa1e. 3. The option granted by Chrysler to Indian River shall not apply to any sale or other transfer to a subsidiary corporation of Chrysler or to Chrysler's parent corporation, or to a subsidiary corporation of r Chrysler~ s parent, or to any transfer by operation of law. 4. Under the terms of an agreement between Chrysler and Indian ~ River bearing the same date as this agreemeat, aad entitled Barge Ghannel ` Agreement, ChryBler is given the option to exchange Parcel 2 in Exhibit A for other lands deecribed in the Barge Chaanel A•greement. In the event that such exchange takes place during the term of this agreement, then the land acquired by Chrysler pursuant to such exchange shall replace Par- cel 2 in Exhibit A and the land so acquired ahall be subject to this agreemen~ ~ 5.
