owing on this Note, the Undersigned rvill:

1~ Deliva to Payee within 45 days after the end of each fiscal annual period~ a balance sheet of the Un-
dersigned as of such dau and a profit and loss statement of the Undersigned for such fiscal period, in form satisfac-
tory to the Payee;

~ 3. Pay all tazes, assessments and otha governmeutal charges to which the Undersigned, or the property of the ~
~ Undersigpod, is or shall be subject before such chuges become delinqnent~ e:cept that no such charge need be
~ paid so long as its vatidity or amount shall be oontested in good faith by appropriate proceedings and the Under-
sigaed shall have set ap on the books of the Undersigned such reserve with respect therew as shall be required by
