aggregate prinaipal amonnt of the Bonde of the 1982 Seriea Ontatand-
ing at the date of ezeontion and delivery of this Snpplemental Inden-
ture, said Series being the only seriea of Bonds Ontstanding under the
Indentnre at said date, have consented in writing to the modifications
and atterations of the Indenture effected by this Snpplemental Inden-
tnre; and

ture ~ave been duly anthorized by the Company; and
Wasasss, all eonditions and reqnirements neceasary to authorize
the ezecntion, ar,~owledgment and delivery of this Snpplemental In- "
dentnre and dnly and legally to effeat the modifications and alteratione F

of the Indenture provided for by thia Sapplemental Indentnre, and to ~
make the Indentnre, as anpplemented, modified and altered hereby, a ~
valid, binding and legal instrament for the secnrity of the Bonds isaued
and to be iasned therennder, and to make the Bonda of the 1986 Series,
when dnly ezecnted bp the Company and anthentieated by the Trnstee
and duly issned, the valid and legallp binding obligationa of the Com-
pany, have been complied with or have been done and performed; and
