Dear Sirs:
Referring to the Agreement pursuant to which your Firm and
Hornblower & Weeks were consolidated, effective January 1, 1965,
; so as to form the continui.ng Firm of Hornblower & liVeeks - Hemphill,
~ Noyes, this is to confirm that,notwithstanding anything contained in
~ Paragraph 1 of said Agreement, all real estate and improvements
thereon located in St. Lucie, Florida, owned by you or your Part-
ners on the aforesaid date, were not included among the assets to be
transferred or actua.lly transferred by Hemphill, Noyes & Co, and its
Partners to the continuing Firm and consequently, so far as the under-
signed ia concerned, title to such real property remains in your Firm
and the persons who were its Partners at December 31, 1964 to the
exclusion of any person who was a Partner of Hornblower &`lffeeks
at that time.
