It is agreed that the above de~cribed collateral has beea pledged to and deposited wi:;,
AMERICAN FIRE AND CASUALTY COMPANY (hereinafter called Company) by thc Owaer as
security (a) against any and all Liability. loss. costs, damages, expenaes and attorney's fees
arising or incurred in connection with any bond, r~~ognizance, underWking or other obligation
(all of which, together with any continuations or modificatione thereof~ are hereafter referred
ta as bonds) heretofore or hereafter executed, aseumed or procured by the Company at the in-
stance or requeet of the Owner, Principal or Indemnitor, and (b) for the performance of every
agreement (includiag coatinuations or modi#icatione thereof, with or without consent of the Owner)
made by each of the Principals, Indemnitors and Owners in connection wiW said bonda. and the
payment of all premiums thereon Said collateral shall be eolely for the benefit of the Company,
its reineurers and co-sureties on said bonds and its and their succesaors and aseigns.
At any time and without notice or legal process, in order to pay out of such collateral to
itself or otherwise any amounts due or to become due, or if otherwiee advisable ~in ita aole dis-
cretion, the Company may, but shall noi be obliged to; sell any of eaid collateral at public or
private sale to iteel! or any other person, or deposit, invest, convert, cash. exchange. renew
or diapose of said coliateral or the proceeda thereof in any other manner, in such form and on
auch terms as it deems proper.
Upon receipt of written evidence satisfactory ta the Company of ite diacharge ~from all
liability under e•~zh bonds and of ownerahip of the collateral, aad of paymenta of ali amounts
due as deacribed herein~ the Company shall return said collateral or the proceeds thereof to the
then owaere (tees any deductions purauant to the terms hereo~, in auch form as it may-then be.
including interest or other additions actually received by the Company directly and solely on
account thereof.
The Company shall not be liable for any loss, depreciation or decrease of such collateral
or the proceeds thezeof or damage thereto except by reaeon of gross negligence of its officers or
employees. Such negligence shall not be founded in whole or ia part upon consiructive notice. {
The rights given to the Gompany under this agreement shall be in addiiion to and not in
Limitation of any other rights the Company may have by law or any agreement.
The Owner repreaente itself to be sole Owner of said collateral and agrees to save the
Company harmless from claims ofanyotherpersons to any part thereof. The Companymaytake
such action or legal proceedings to effectuate this agreement as it deems advisable either in its
name or otherwise. but at the expense of the owaer.
This receipt is not assignable or traneferrable except upon written conaent of a duly
authorized officer of the Company and must be returned at the time aurrender of the collateral ie
reque ated. -
Th~ Company shall have a reaaonable time within which to return the collateral after
receipt of evidence showing termination of liability.
