1. This agreement sha11 be effective as of
the close of title pursuarit to the terms of the Land Purchase
Agreement and shall continue in full force and effect for a
period of 12 consecutive years, and from year to year there-
after unless written notice of termination is given (not
earlier than 11 years and 6 months after the effective date
here~f) by Operator or any of the Owners, which notice shall
be given not less than 6 months immediately prsceding the
date of termination; provided, however, that such termination
shall only be effective as between the notifying and the
notified parties, and shall not affect the rights and obliga-
tions of the other parties to this agreement, unless, of
course, the Operator terminates the agreement with all of the
Owners, or a12 of the Owners terminate the agreement with
Operator.
2. Operator shall have full direction, manage-
ment, supervision and control of the Grove and the Reservoir
and shall conduct and manage the development and operation of
the Grove for the production and marketing of citrus (mainly
oranges and grapefruit in the proportions determinec3 by
Operator) for the joint anci mutual benefit of the parties hereto.
In connection herewith, Operator will arrange for water control
of said Grove and the construction of the Reservoir, dikes,
ditches, pumps, power units, control gates, culverts, canals,
roads and the like. Such of the foregoing as may be constructed
or installed on or in the areas delineated by ~he plat to be
annexed heYeto are, together with the realty on which located, hereby
dedicated in perpetuity to the comm4n use of all Owners and shall j
be and become a part o~ the realty subject to the terms of this
dedication. ;

6. Operator shall have the comp2ete and ~
~ irrevocable power and authority, exercisable in its discretion, ;
to enter into any and all appropriate water dist~ict, labor, }
materia~, rental, construction or other agreements that it
may deem reasonab2e, appropriate and necessary to carry out

7. All costs, expenses and liabilities accruing
or resulting from the construction, development and vperation
of the Grove (and of the Reservoir) pursuant to this agree-
ment shall be shared, borne and paid by the Owners, and each
of them, in the proportion each Ow-ner's (Grove) blocks bear ~
to the total number of bZocks in the Grove. The Grove will be
laid out in 66 block~ of approximately 13. + acres each (each ~
block to cantain the same proportionate numi~er of trees). ~
