(b) Owners giv~e and grant to Operator, and
Operator sha21 have a lien upon each Owner's acres and interest
in and to the Grove and Reservoir (or portion thereo£), the
materials and equipment therein and thereon, the citrus pro-
duced therefrom and the proceeds of such citrus to secure the
payment of Owner's a].iquot share of all costs and expenses in-
curred in the purchase, development and management and operation
af the Grove (and the Reservoir); said lien shall immedi.ately
arise and be effective upon an Owner's failure in prompt pay-
ment of his aforesaid aliquot share. .
9. All net income, that is, all income left
a~ter payment of all costs, expenses and liabilities incurred
pursuant to the terms hereof received from the sale of the
citrus produced by the Grove and all net income re~eived
from the sale of fish or anything else raised or produced by
the Reservoir, shall be pooled and distributed on a pro rata
basis to Owners, and each Owner shall be paid his aliquot share •
less the marketing and sales fee.

11. (a) Except as permitted by the provisions
of subparagraph (b) of this Paragraph Z1, no Owner shall, during
the term hereof, sell, transfer, assign or devise his acres i
(which, for the purposes of this Paragraph 11, shall be deeiued ~
to include his interest in the.Reservoir), or any portioY~
thereof, or any interest therein, without the prior consent of
Operator and all other Owners, unless he shall first have
given 60 days' notice mailed to the Operator of his intention
to do so. The notice must name the proposed purchaser or
transferee, specify the number of acres (specifically identified
as-to block number with a metes and bounds, or other precise
description if less than an entire block) to be transferred or
conveyed and state the price and terms of payment. Promptly
upon receipt of such notice, Operator shall notify all the re-
maining Owners of the contemplated transfer and said remaining
Owners shall ~ave the option to purchase said acres at the
price and upon the terms of any such outside bona fide offer.
Within 15 days after the mailing of such notice, any Owner
desiring to purchase any part or all of said acres shall de-
' liver to Operator a written e~eetion to purchase said acres
' or a specified nwnber thereof. If the total of tb4 acres
specified in such election exceeds the numY~er of acres to be
transferred, each Owner shall have a priority, up to the number
of acres specified.in his notice of election to purchase, to
such proportion of the number of acres to be transferred as the
total number of acres which he holds in the Grove bears to the
total number of acres in the Grove held by all Owners electing
to purchase. As soon as the figures can be determined, Operator
shall not-ify each Owner of the number of acres as to which his
election was e~fective and such Owner shall pay to Operator,
within 10 days thereof, the amount of cash necessary to pur-
chase said acres and execute any necessary documents, including
Promissory Notes and Mortgages, to secure the balance of the
purchase price, if any; should any Owner not make payment and/or
