Before me, the undersigned authority, personally appeared
RUPERT JASffii SMITH, a practicing attorney in Fort Pierce, St.
Lucie County, Florida, who upon being first duly sworn, deposes
and says as follows:
1. Z'hat he is the attorney far Flowers Groves, Inc., and as
such has in his possession aIl of said corporation's record books
J and files; that he has examined the minute books and stock books

S of said corporation and has found that W. D. Flowers and Rose

= Flowers, his wife, divested themselves completely of any and all

~ interest in and to said Flowers Groves, Inc. on June 15, 1960.

his wife, conveyed and turned over all of the stock which they

Y owned in Flowers Groves, Inc. to said corporation, as is evidenced

~ ~ by Flawers Groves, Inc. stock certificate No. 1 for five (5) share
~ ~ i.n the name of W. D. Flawers, and stock certificate No. 2 for
forty-four (44) shares in the name of Rose M. Flawers, which said
stock certificates were assigned i.n blank to Flowers Groves, Inc.
by W. D..Flowers and Rose M. Flowers, respectfully, on J'une 15,
1960, said assignment being witnessed by B. A. Bittan, Jr.
3. Z'hat these stock certificates are on file as of this date
in the stock record book of Flowers Groves, Inc., and are marked
~ canceled as of June 15, 1960.
