purposes other than for the exclu~ive benefit of the ~loyees ~
of the ~nployer, or their beneficiaries, uatil after the satis-
faction of all liabilities under the Trust to such Bmployees and
their beneficiaries. ~
1.05 Februarq 1, 1965, shall be the effective date of
this Trust on and after which all action conte~lated or pezmitted
under its terms may be performed.
1.06 This Trust shall be construed according to the laws of
the State of Florida where it is made and where it shall be enforced.
1.07 If the continued existence of this Trust beyond a
certain period would cause it to fail by operation of law, then ~
it shall continue for the maximum period permitted by law and shall
t then terminate with distribution of all assets as provided in
Section 10.02.
ARTICLE II
DEF7.NITIONS
2.01 The terms defined in this Article shall have the
meanings showa wnless the context requires otherwise.
2.02 "I~nployer" shall mean REF~-HAUGHI~ON MOTO&S, INC. The `
~ term-Employer shall also be construed generally to include any

successor business organization or any other business organizatioa
which, with the consent of the I~ployer, shall assume the obligs-

- tions of this Trust with respect to its Employees. Such assumption ~

shall be in writing and shall be signed by the F.'mployer, the ~

Trustees and the organization assuming the obligations of this Trust. i

2.03 "Trustees" shall mean the Trustees signatory to this ~

agreement and their successor Trustees.

2.04 "Fmployee" shall mean any person regularly e~nnployed i
by the Employer on a continuing basis, excluding any persons who
receive less than $4,800 annual compensation or whose customary - ~
e~mployment is for not more than twenty hours in any one week or
for not more than five months in any calendar year. Where campensation
