Upon agree~ment with the Trustees,such corporation or business

organization shall become the Fm~ployer for the purposes of this
Trust. Amy Participant under this Trust who is not an Employee of
the new Smployer shall receive any Policy on his life free and clear
of the Trust, together with a share of any other assets determined
in the same manner as under Section 10.02.
ARTICLE RI
TEIE TRIISTSES

11.01 There shall be three Trustees who shall have all
powers necessary for the performance of their duties.
11.02 Any Trustee may resign in writing addressed to the
ESmployer. The Board of Directors of the Eonployer shall have power
to remove a Trustee and to fill vaaancies in the Trustees. The
appointment of a Trustee shall become effective upon his acceptance
in writing addressed to the Employer and upon such acceptance such
Trustee shall be vested with all of the rights, powers, and duties
of his predecessor. During the period when there are fewer than
three Trustees, those Trustees in office shall have and exercise
all rights and powers of the Trustees tmder this Trust.
11.03 Acts and decisions of the Trustees shall be by a
majority of the Trustees either in a meeting or wittmut a meeting
but by writing signed by a ma3ority. Any one of the Trustees m~y ;

sign on behalf of all, applications for Policies or any papers ~
which maq be required by the Insurer.
11.04 No Trustee shall be precluded from becoming a
Participant under this Trust upon his meeting the requirements for
eligibility.
11.05 The Employer agrees to pay the expenses of sdminis-
