the corpus or income, legal eapenses and such coaapensation for the

Trustees as may be agreed upon by them with the Eo~iloyer. However,
the Trustees may charge the trust fund for such expenses until
paid by the Em~iloyer.
11.06 The Trustees shall keep records of the operation
, of the Trust and may file with the ~oployer accountings of their
acts. If the S'mployer shall approve and allow the same such ~
accountin.gs shall become final and binding upon all persons having
any interest hereunder and shall be full discha~ge and acquittance
to the Trustees with respect to matters set forth. A Participant
may inspect the Trustees' records as they relate to his owa partici-
pation and t~e Employer may at any time inspect the records of the
Trustees. ~
11.07 Except for gross negligence, wilful misconduct or
~ wilful breach of this Ttust, no Trustee shall incur any individual
liability for act or failure to act pursuant to this 1`rust. Each
Trustee shall be protected in acting upon any document believed by
him to be genuine and to have been executed or delivered by the party
purporting to have eacecuted or delivered the same. No Trustee shall
be liable for the act of any other Trustee. The Trustees may engage
agents to assist them in their duties and may consult counsel who
may be of covasel to the Employer. The Trustees shall be relieved
of all responsibilitq for anything done or not done in good faith

on advice of counsel.
11.08 The Trustee shall have the right to 3udicial settle-
ment of their accoumts. In the eventi that any dispute shall arise
as to any act to be perfo~ned by the Trustees, the Trustees may .
postpone performance uatil adjudication af such dispute in a court
of campetent jurisdiction or until they shall have been indemanified
