PENSION TRUST AGREEMENT !

- Agreement made this ~~ay of July, 1967, between REED-
HAUGHTON MOTORS, INC,, a Florida corporation, with principal
office at Fort Pierce, Florida, referred to herein as •"Employer",
and DON D. REED, EUGENE D. HAUGHTON and SPENCER B. _

GILBERT, as Trustees, all of Fort Pierce, Florida; referred to ~

herein as "Trustees", y
WHEREAS, the Employer desires to amend the Pension Trust
Agreement between the parties hereto dated February 25, . 1965, as
permitted by Section 10. O1 of Article 10 of said Pension Trust
Agreement, and
WHEREAS, said Pension Trust Agreement was initially
amended by Amendments thereto filed with proposal letter dated
September 14, 1965, and determined to be qualified September 30, 1965;
~ NOW, THEREFORE, in consideration of the premises and of
~ the mutual covenants herein contained, it is agreed by and between the
~
Employer and the Trustees, that the said Pension Trust Agreement and
the amendments previousiy made thereto, be further amended, retro-
active to the date of the original Pension Trust Agreement, as follows: -

Article 13. 02 is amended by a'dding thereto a new subparagraph (g),
- providing as follows: ,
(g) The Trustees shall have the power to sell, exchange, lease ~
or mortgage any real estate at any time forming a part of the corpus of
the trust hereby created in such manner, at such times, and upon such
