said, has been filed and recorded as and where required by the Inden-

and are outstanding at the date of egecntion hereof $73,032,000 aggre-
gate principal amonnt of the Bonds of tLe 1979 Series, $12,355,000 ag-
; gregate principal amonnt of the Bonds of the 1982 Series and $25,000,000
f aggregate prmcipal amonnt of the Bonds of the 1986 Series; and
E Wa$$ses, it is provided in Arrticles 15 and 16 of the Indentnre
E that modificationP and alterations of the Indentnre and of the rights
~ and obligationa oi' the Company and of the holders of the Bonds Ont-
~ standing under the Indentnre may be made with the written consent
of the holdera of 66~% in pri.ncipal amount of the Bonds Ontstanding
entitled to consent, inclnding 66~q'o in principal amonnt of the Ont-
standing Bonds of each Series whose righta nnder the Indentnre are
affected hereby, and when anthorized by resolution of the Board of
Directora of the Company, and that modifieations and alterations may
be made by an indentnre ezecnted by the Company and the Trnstees,
sapplemental to the Indentnre ; and
Wass$ss, ~ 16.06 of the Indentnre provides that no modification
or alteration of the Indentnre shall be made wluch will affect the aink- ~
f ing fnnd with respect to the Bonds of the 1979 Seriea, the Bonds of the
1982 Series or the Bonds of the 1986 Series, withont the consent of the

~ holder of each anch Bond; and -
WsEases, the holdera of all of the Bonda of the 1979 Series, all of
the Bonds of the 1982 Seriea and all of the Bonde of the 1986 Seriea
