f ~ 13.01 o f the Indet~ture. ~ 13.01 of the
Indentnre ia hereby amended by adding at the end of Subdivision (b)
the following :
"(iii) An Officer's Certificate, dated witLin 10 daya prior to
the date of snch consolidation, merger or sa1e, stating that the Com-
pany is not, and immediately after anch consolidation, merger, or
sa?le vvill not be, in Defanlt in the performance of any of the terms ~
or oovenanta of this Indentnre."

Indentnre ia hereby amended ae follows:
(a) Delets : -
(or, in the case of one or more indentnres anpplemental hereto in

and

(b) At the end of the nezt to the last sentence, add the following: -
