are nntrue or false or that any anch opinion omits to state any material
faet necessary to make sueh opinion not misleading.
~ 2.02. Obtai+~ing of ali dpprovuls. The Company covenanta
and warrants that it has heretofore obtained all consents and approvals
reqnired to be obtained frnm any goverremental or reg?alatory body or_ ~
bodies having jnrisdiction over the Company and its propertiea (inc:lnd-
ing withont limitation a Certificate of Pnblic Convenience and Necessity
fmm the Federal Power ComDnission nnder the Natnral (,~as Act in
Docket No. CP65-393) or nnder any indentnre, agreement or other
instrument to which it ia a party or by which it is bonnd or to which ~
any of ita property may be anbject, and the carrying ont bp it of the
transactions herein contemplated will not resnit in any breach of or
constitnte any defanlt nnder any snch indentnre, agreement or instra-
men~

The Trnsteea hereby accept the trnst hereby declared and provided
