. Section 5. Suecial Meetincr, Special meetings of the mem-
bers for any purpose or purposes, unless otherwise prescribed by statute
or by the Articles of Incorporation, may be called by the President, and
sha11 be called by the President or Secreta,ry at the request, in writinq,
of a m~,jority of the Board of Directors, or at the request, in writing, of
Voting Members representing a majority of the unit owners' total votes,
~which request shall sta.te the purpose or purposes of the proposed meeting.
Business transacted at all special meetinqs shall be confined to objects
stated in the not3ce thereof.
Section 6. Waiver and Consen~ Whenever the v+ote of inem-
bers at a meetiug is required or permitted by any provision of the statutes
or of the Articles of Incorporation, or of these By-La.ws, to be taken in
connection with any action of the corporation, the r~eeting and vote of
members may be dispensed with if all the members who would have been
entitled to vote upon the action if such meetinq were held, shall consent in
writinq to such action being taken,
Section 7. Adiourned meeting. If any meeting o# members
cannot be organized because a quorum of Vot3ng Members is not present,
either in person or by proxy, the meeting may be ~ljourned from time to
time until a quorum is presen~
~ Section 8. Proviso.

of the Condominium has completed and sold all of the units in the Condomin-

occur, there sha,ll be no meeting of inembers of the Association unless
there is a meeting called by the Board of Directors of the Association.
~ Section 9. Apuroval or Disanproval of a unit owner upon any
matter, whether or not the subject of an Association meeting, sha.ll be by
the "Voting Member"; provided, however, where a unit is owned jointly by
a husband axd wife and they have not designated one of them as a Votinq
Member, their joint approval or disapproval sha11 be required where they
a~e both present, or in the event only one is present, the person present
may cast the vote without esta.blishing the concurrence of the absent person.
ARTICLE III. DIRECTORS.
The Board of Directors sha11 consist of three members durinq
the first corporation year a~d nine members thereafter. At t~he first cor-
porate meetiing all nine directors sha11 be elected, three for terms of one
year; three for two year terms; arid three for three year terms. Thereafter,
