Notwithstanding any~hinq above to the contrary, until one of the events in Article II-a, S~ction 8 of the By-La.ws occurs, thes By-Laws may not be amended without a prior resolution requestinq said Amendment from the Boaxd of Directors. ARTICLE X. NO?TICE Whatever notices are required to be sent hereunder sha11 be delinered or sent in accordance with the app~icable provisions for notices, as set forth in the Declaration of Condominium to which these By-Laws are attached. ARTICLE XL IlJDENIl~TIF'ICATION. ; The Corporati~on sha11 indemnify every Ditector and every Office~, his heirs, ezecutors, and a~ci~ministxators, aqainst all loss, cost and expenses reasonably incurred by him in connection with ax~y action, suit or proceeding to which he may be made a party, bp reason of his being or having been a Director or Otficer o~ the Corporation, including reasona.bl counsel fees to be approved by the Corporation, eucept as to matters where- in he sha11 be finally adjudqed in such action, suit or proceeding to be liable for or guilty of gross negliqence or willful misconduct. The foregoing rights sha11 be in addition to and not exclusive of aJl other rights to which - , such Director or Officer 'may be entitled. ARTICLE XII. LIABII.ITY SURVIVES TERMII~TATION OF MEMBERSfi~ The termination of inembership in the Condominium shall not relieve or release any such former owner or member from any liability or I obliga.t3ons incurred under or in any way connected with the Condominium durinq the period of such ownership and membership, or impair any rights or remedies whi,ch the Associa.tion may have against such former owuer and member 2rising out of or in any way connected with snch ownership and membership, and the covenax~ts and obliyations incident thereto. ~ ARTICLE XIII. LIMITATION OF LIABILITY . , - Notwithstanding the duty of the associa.tion to maint3in and repa3r pa~rts of the condominium property, the association sha11 not be liable for ir~ury or damage caused by a la.tent condition in the property, nor for in,~ury or damaqe caused by the elements, or by other owners or persons. ARTICLE XI[II. PARLIAMENTARY RULES. - Roberts Rules of Order (latest editior~ shall y+overn the conduct of the association meetings when not in corlflict with the Condomini Act, Declaration of Condominium, or these By-Laws.
