I. In the event that any payment of rent shall have become due as herein provided and shall remain unpaid for ten days or if Lessee becomes
insolvent, ceases to do business as a going concern, makes an assignment for the benefit of creditors, or if a petition for a receiver or in
bankruptcy is filed by or against lessee, or in the event of any othet breach of any.provi~ion of this lease by lessee which breach shall
not have been cured within ten days after natice thereof mailed by registered mail postpaid to the lessee at Lessee's last known address,
Lessor may at Lessor's option declare Lessee to be in default and terminate this lease and Lessee will forthwith make the Equipment
available for repossession by Lessor in accordance with paragraph G and lessee shall forthwith pay to Lessor am? damage cecasioned to
Lessor by reason of said breach and termination, it being agreed that if permitted by applicable !aw such damages shall be measured
by the difference between the value of the Equipment at the time of its insta!lation and the saie price thereof at public or {xivate sale
after repouession less any rentals theretofore paid by lessee for the use of the Equipment. In addition to such damages, Lessee agrees
to pay to Lessor expenses of repossession and sale, if arry. Lessor, as an alternative to the foregoing option to retake possession, may at
Lessor's option declare a!I of the remaining rent at once due and payable and Lessee in that event will pay such remaining ~ental forthwith
to Lessor, with interest thereon at the rate of 1 30th of l~o per day from date of default until paid, but not exceeding the lawful maxi-
mum, if any, but upon such payment lessee shall not be relieved of its other obligations hereunder and shall respond in damages to
lessor for any Dreach thereof. If after default this lease is placed in the hands of an attorney for collection of unpaid rent or enforcement
of any other right or remedy of Lessor. Lessee shall pay reasonable attorney fees (twenty percent (20%) of the rental then remaining
unpaid, if permitted by law.)
1. lessor and the manufacturer of the Equipment make no warranty express a impfied in connection with this lease or ihe Equipment except
that the manufacturer of the Equipment warrants the Equipment in accordance with its standard warranty thereof. This lease shall not
be binding on Lessor until executed by an authorized officer or representative of Lessor.
K. Lessor shall defend arry suit or proceeding brought against lessee so far as based on a claim that any products, or any parts thereof,
furnished under this agreement constitute an infringement of any patent of the United States, if notified promptly in writing and given
authority, information and assistance (at Lessor's expense) for the defense of same, and Lessor shall pay all damages and costs awarded
therein against Lessee. In case said products, or any parts thereof, are in such suit held to constitute infringement and the use of said
products or parts are enjoined. Lessor shall at its own expense, either procure for Lessee the right to continue using said products or
parts; or replace same with non-infringing products or parts; or modify it so it becomes non-infringing; or remove said products or parts
and refund rentals paid and the transportation costs thereof. The foregoing states the entire tiability of Lessor for patent infringement
by the Equipment or any parts thereof.
L. ~This lease and arry addendum thereto attached and signed by the p~rties constitutes the entire agreement of the parties with respect to
the subject matter herein. .
