for the transaction of such other business as they may deem necessary or
~ ~ advisable shall be held on the fourth Tuesday of June in each year, in
Wilbraham,• Massachusetts.
Other stated meetings of the Trustees shall bc~ held as they
may from time to time by vote or Cy-law prescribe, and special meetings
shall be held from time to time upon call of the PresidPnt or oi any two of ~
the Trustees upon such reasonable notice, verbal or ~vritten, as the
Ti•ustees may by vote or by»law prescribe. No notice shall be required to
be given to a Trustee who has, by a writing filed ~vith the records of the
meeting, waived notice of such meeting. No notice or waiver of notice shall
be required of a meeting at ~vhich al~ of the Trustees are present.
A majority of the Board of Trustees shall be required to

~ constitute a quorum for the transaction of any business except adjournment,

i and the certificate of the Secretary of the Trustees or of any~ temporary or
assistant Secretary, if such be appointed, shall be conclusive as to the
~ - ,
~ regularity of any meeting of the Trustees, the presence thereat of a quorum,
~ and the concurrence in any action voted or resolution there taken of the
~
requisite majority or number of the Trustees, and as to any other facts or
statements in such certificate set forth. At any meeting of the Ti•ustees,
the vote or resolution of a majority of the Trustees shall be conclusive..
~ LIRTICLE VIII. OFFICERS
~
The Trustees shall annually elect from their number a
~'residcint, a Treasurer and a Secretary, and they may appoint such other
officers, agents, attorneys and committees as they may from time to tiine
dee~r? necessary or expedient. Any two offices may be held by one Trustee. ,
