clear and harmless fram all loss, cost and expense (including outlay for attorney's
fees and other coats of malcing defense) of and from all claim and demands, ahether
valid or groundless, made by any third party/ies against the CITY, becuase of any or
in connectian vith any act or omission (actual or claimed) of FLQtIDA, its agents,
representatives, emplorees, contrsctors or a8signees, arising in any way fram or in
connection With the anticipated construction, operation, maintenance, replacement,
repair or removal, including Without limitation of the generalit~, those because of
negligence or faulty material or workmanship, those for liens against the CITY by
third persons, or its property because of labor, services, materials or any other
subject of lien furnished FIARIDA, and those by reason of failure of FLORIDA to
abide bq any and all valid applicable laws, State or Federal, or regulations of ~
goverr~mental authorities thereunder, and FLORIDA does hereby agree to indemnify and
save harmless the CITY, its officers, agents and employees against any claim or
liability fram or based on the violatioa bq FI,ORIDA, its agents, employees, repre-
sentatives, contractors or assignees of any Federal or State laws, local by-laws,
ordinances, regulations, or such orders and decrees as exist at present and those
. which may be enacted later, or bodies or tribunals having jurisdiction over the
anticipated constructioa, operation, maintenance, replacement, repair or removal.
. FI.QtIDA further agrees to construct, operate, maintain, replace, repair
~ or remove the structures in an efficient manner co~oensurate with standards in the

~ natural gas industry.
IT IS AiGRSBD AND UI~IDSRSTO~ that FI,ORIDA shall not have the right to
assign anq rights hereunder without the written consent of the CITY, BRCBPT that
all of the rights and obligations of FIAltIDA set out herein may be assigned to a
1Yustee or Trustees under a deed and mortgage as security for indebtedness of

FI.aRIDA and such rights may be further assigned in connection With the enforcement
of any such deed of trust and mortgagea; the obligations hereunder of FLQtIDA may
be performed by such Trustee or Trustees or any further assignee without releasing
FLOltIDA therefrom but neither such assignment, the acceptance thereof nor any per-
formance hereunder by such Trustee or Trustees or further assignee shall obligate
such Trustee or Truatees or assignee to perform such obligation.
