Premises or any portion thereof, will notify the Mortgagee of the
pendency of snch proceedings. The ~ortgagee may participate in any
snch proceedings and the Mortgagor from time to time will deliver to ~
the ~iortgagee all instraments reqnested by it to permit snch partici-
pation. In the event of snch condemnation proceedi.ngs, the award or •
compensation payable is hereby assigned to and shall be paid to the
~iortgagee. The Mortgagee shall be nnder no obligation to question
the amonnt of any snch award or compensation and may accept the '
same in the amount in which the same shall be paid. In any anch
condemnation proceedings the Mortgagee may be represented by
connsel aelected by the Mortgagee. The proceeds of any award or
compensation so received ahall, at the option of the Mortgagee, either
be applied, without premium, to the prepayment of the Note and at
the rate of interest provided therein regardless of the rate of interest
payable on the award by the condemning anthority, or be paid over to
the Mortgagor for restoration of the Improvements.
~ S~ox 1.14. (a) The Mortgagor will not (i) eaecute an assign
~ ment of the rents or any part thereof from the Premises nnless snch
assignment ahall provide that it is snbordinate to the assignment con-
~ tained in this Mortgage and any assignment execnted pursnant hereto,
~ or (u) ezcept where the lessee is in default therennder, terminate or
consent to the cancellation or snrrender of any lease of the Premisee
or of any part thereof, now eaisting or hereafter to be made, having
an unezpired term of two (2) years or more, ezcept that any lease
may be cancelled provided that promptly after the cancellation or
snrrender thereof a new lease is entered into with a new lessee having
a credit standing, in the jndgment of the Mortgagee, at least eqnivalent
to that of the lessee whose lease was cancelled, on Bnbstantially the
~ same terms as the terminated or cancelled lease, or (ui) modify any
~ sneh lease so as to shorten the nnegpired term thereof or so as to
~ decrease the amount of the renta payable therennder, or (iv) accept
prepaymenta of any instalments of rents to become dne nnder such
leases, ezcept prepayments in the natnre of security for the perform- •
ance of the lessees therennder, or (v) in any other manner impair the
value of the biortgaged Property or the security of the Mortgage. .
