organized and existin,g ~.inder the lawe of the United Statee of America, and having

WTTNESSEZH: For value received and as additional security for the loan
hereinafcer meationed, the party of the first part, hereby sells, tranefers and
a8eigns unto die party of the second part, ite successors and assigns, all the
right, title aad interest of the party of the first part in and to the rents, i8sues,
profits, revenues, royalties, rights and benefits, from the following described
