(F) The layout of the entrances to and exi~s ~ro:n the
Parking Areas and Se=~~ice Areas of each of Parcels K and \ and
the parking spaces and driveways ~aithin ~he Parking Areas of each
of said Parcels shall be as approved by the owners of both of
said Parcels and shall not be changed without the written consent
of t;-~~ owners of both of said ?arcels. The owner of each of said
Par~:?s agrees th~:~ if any entrances to or exits from the Parking
Areas or Service Areas of its said Parcel shall be ta~en by
condenmation (or deed in lieu thereot), it will replace the .
same promptly to the extent permitted by public authority.
(G} The owner of each Parcel shall with raspect to its Parcel
comply with all Iaws, ordinances, regulations and require~nts of all
public authorities having jurisdiction. The owner of each Parce2 shall
cause to be paid, at least fifte~n days before penalties or interest
shall be chargeable for lata paynent, all real estate taxes~and
assess~:ents upon its Parcel, subject only~to the right of said owner to

defer paymenic in a manner provided by ~~aw in conriection wi~h a bona-fide
contest of such tax or assessment or tr.e amount thereof, provided
that the rights.of any other owner under the Easement Agreement shall

~ ~•not be jeopardized by such deferring of payment.

f (k) If either owne-r shall default in the performance of any

E of its obliga~ions under any of the foragoing provisions of the
Easement Agreement and~shall permit such default to continue for a
~eriod of fi~teen days after receipt of :~otice o~ such default from any
other owc~er, the~owner giving such notice may, at its option, without
waiving any clai.m for daaaaJes for breach of agrzement, cu~e such
