MEMORANDUM OF LEASE
THIS MEMORANDUM OF LEASE made by and between ST. -
LUCIE COUNTY BANK, as Trustee, under Trust Agreement dated
the 25th day oP~~eptember, 1968, and knoxn as TRUST NUMBER
ONE (1), hereinafter called the LESSOR, and RICHARD A. PAIN
and C. ROBERT SUTHERLIN, hereinafter called the LESSEE-
ASSIGNOR, and SHAMROCK VILLAaE LTD., a Delaware corporation,
hereinafter called the ASSI(iNEE.
FOR AND IN CONSIDERATION oP the sum of One($1.40)
Dollar and oP other valuable consideration paid by the LES-
SEE-ASSI(3NOR and the ASSI(iNEE to the LESSOR,the receipt and
sufficiency of which are hereby acknowledged by the LESSOR,
the LESSOR hereby demises to the LESSEE-ASSIGNOR and the
ASSIaNEE and the LESSEE-ASSIaNOR and ASSIGNEE hereby lease
from the LESSOR upon and sub~ect to covenants and agreements
~ set Porth in a certain Lease Agreement between the LESSOR
f and LESSEE-ASSI(~NOR dated the 18th day of October, 1968, and
assigned to ASSI(3NEE by a certain Assignment dated the 18th
day of October,~968, the premises described on Schedule "A"
a~~ached hereto, and more commonly knoMrn as Shamrock Village,
~ort Pierce, St. Lucie County, Florida.
TOQETHER WITH all easements, rights and privileges
and appurtenances belonging to the demised premises or in
anywise appertaining or in any manner connected therewith.
AND TO HAVE AND TO HOLD the same for a term oP
fifteen (15) years from the 18th day of October, 1968.
THE TERMS, COYENANTS AND CONDITIONS of the Lease
and Assignment are hereby rePerred to and made a part hereof
E as if herein set forth in Pull. This Memorandwn of Lease
for recording is a form of the Lease and the Assignment to
ASSIaNEE for the purposes oP constructive notice. In the
- - event oP conflict between the provisions of the Memorandum
oP Lease Por recording and the long Porm of this Lease and
the Assignment to ASSIGNEE, the terms and provisions of the
_ long form oP this Lease and the Assignment to ASSICiNEE shall
- prevail.
