Units 2, 3 and 4 of Sheraton Plaza, the escrow agent shall, upon
written notice from said mortgagee that said mortgage is in default,
deliver the deed to said lots to the County.
5. The Corporation agrees to pay-the charges of the escrow
agent for its services.
6. The escrow agent by acceptance hereof assumes no respon-
sibility other than to make delivery of said deeds in accordance
with the terms hereof, and shall be indemnified by the Corporation
against any liability, loss, cost or expense occasioned hereby.
It is further agreed by and between the parties hereto that
this Agreement cancels and supersedes the Improvement Escrow Agree-
ment dated August 23, 1968 and the Subdivision Platting Contract
Receivables Agreement dated August 27, 1968 between the parties
hereto.
IN WITNESS WHEREOF the parties hereto have executed this Agree-
went in triplicate the day and year first above written.
