under the general principles of the laws of trusts, and, provided,
that all rights to subscribe to new or additional stocks or
aeFUrities and all liquidating dividends shall be deemed to
be principal.
ARTICLE IX
Accounting by Trustee
The Trustee shall maintain accurate accounts and records
and shall render annual statements to the current income beneficiary
or beneficiaries hereunder showing receipts and disbursements
of principal and income.
ARTICLE X
Resignation, Additional and Successor Trustee
(a) Any Trustee shall have the right to resign at any
time upon the giving of thirty (30) days prior written notice
to the Grantor, if he is living, or, in the event of his death,
to the current income beneficiary or beneficiaries, or the
legal guardian or guardians of the same; or, if there be none,
to the natural guardian or guardians of the same if any of
such income beneficiaries are less than twenty-one (21) years
of age.
(b) If, following the death of the Grantor, in the opinion
of PHILIP W. VINEYARD it would be in the best interests of
the trusts created hereby that an additional trustee or trustees
be appointed, then and in that event, PHILIP W. VINEYARD,
in his sole discretion, may appoint as an additional trustee
or trustees hereunder either the Graator's son, PHILIP P.
VINEYARD, if he has attained the age of twenty-five (25) years,
