(d) The "Family Part" as hereinabove determined in paragraph
(b) above of this Article, shall be held by the Trustee,
in trust, such trust to be known as and hereinafter referred
to as the "Vineyard Family Trust", to and for the follow-
inq purposes:
(1) In the event the assets available from
the probate estate of the Grantor for such purpose,
pursuant to the terms and provisions of the Grantor's
will or otherwise, shall be insufficient to pay
the funeral expenses of the Grantor and. to pay the
debts of the Grantor and of the Grantor's estate,
the expenses of administration of the Grantor's
estate, and to pay all estate, inheritance, legacy,
succession and other taxes, state and federal (including
any interest and penalties thereon) arising or awing
upon or as a result of the Grantor's death, then
the Trustee shall pay the remaining balance of all
such debts, expenses and taxes, and no part of such
debts, expenses and taxes shall be recovered from,
paid by, or apportioned between or among those persons
beneficially interested in the Grantor's estate,
regardless of any statute to the contrary. Such
payments of debts, expenses and taxes shall be made
to the persons entitled or authorized to receive
and receipt for the same upon receipt by the Trustee,
from time to time or at any time, of a certificate
or certificates signed by the executor or administrator
of the Grantor`s estate and stating the amount due
and payable.
The Trustee shall in no way be bound
