the incotae of the trust as the Trustee may
deem necessary or proper for such purposes
(without any necessity to maintain equality
of distribution), and to the extent that
the income is insufficient for such purposes,
the Trustee may distribute all or any portion
of the principal of the trust to such descendants
for such purposes (without any necessity
to maintain equality of distribution). Any
income not distributed shall be accumulated
by adding and incorporating it into the
principal of the trust to be administered,
invested, reinvested and dealt with in the
same manner as any other principal of the
trust.
The trust shall terminate upon the twenti-
eth anniversary of the creation of the trust
for such descendants, or upon the 21st birthday
of the last of such descendants to reach
such age, whichever event first occurs;
however, if the Grantor's wife, MARY L. VINE-
YARD, shall be living at the time of the
occurrence of the first of the said events,
such trust shall terminate upon the death
of the Grantor's said wife. Upon the termination
of the trust, the then principal thereof
shall be distributed and paid over to such
descendants, per stirpes; provided, however,
