shall be made to the Grantor's said wife
(i) unless the principal.
of the "Mary L. Vineyard Trust"

shall have been exhausted; or
(ii) the Trustee, in its
sole discretion, shall consider
it impracticable at the particular
time and under the particular
circumstances to make a principal
distribution to the Grantor's
said wife from the principal
of the "Mary L. Vineyard Trust'.
In exercising its discretionary powers
hereunder, the Trustee is directed to maintain
equality of distribution as amongst the
income and remainder beneficiaries of the
several trusts to the extent that, in the
Trustee's sole discretion, such equality
is practicable, feasible and convenient.
(D) Notwithstanding anything in sections
(A) , (B) and (C) of this subparagraph L3)
to the contrary, if, at any time and from
time to time, the Trustee shall determine
that any child .of the Grantor, or any descendants
of a child of the Grantor is in need of
funds to defray the costs and expenses
of medical treatment or surgery, or there
is a need of funds occasioned by some extraordinary
