A new ARTICLE XIX is added to the Agreement as follows:
ARTICLE XIX
Throughout this Agreement, all reference to the
Grantor's wife as "Mary L. Vineyard" shall be deemed to
mean "Mary Louise Vineyard" as the Grantor's wife is more
familiarly known.
IN WITNESS WHEREOF, the Grantor and the Trustee have executed
this First Amendment To T'he Philip W. Vineyard Trust the day and
year first above written.

me known and known to me to be the individual described in and
who executed the foregoing FIRST AMENDiMENT TO TSE PHILIP W. VINE-
YARD TRUST as Grantor, and he duly acknowledged to me that he
executed said instrument as his free and voluntary act for the
