vote upon t he said amendment were present in Feraon or by proacy;
that at the said meeting a vote of the stockholders of record
entitled to vote was taken for and against the proposed amendment
that upon the canvassi~g of the votea of the said stockholders of
record it appeared that stockholders of r~cord holding 140 sheres
of the capital stock of the corporation, constitutin~g all of the
isaued and outstandi~ stock of the corporation entitled to vote,
have voted in favor of said amendment and that no ahares ~ere
voted against the saane.
