This agreement entered into this ~~day of ,
19~ between CITRUS PULP CO., a Florida corporation, hereinafter
called CITCO, parties o~ the first part ~nd INDIAN RIVSR F'OODS, INC.,
hereinafter called~IRF, a Florida corporation, partiea of the second
part.

W I T N E S S E T H:
WH$RSAS, CITCO is in the buainess af erecting and operating
citrus pulp mills in the State of Florida and
WHERSAS, IRF is operating a citrus juicing facility at Fort
Pierce, Florida, from which is derived large quantities of orange and
grapefruit peel, pulp and aeed that are needed in the opexation of
such mills,

I~W TI~:REI~ORS, in consideration of the sum of Ten Dollara ($10.00)
paid by each of the parties hereto to the other, receipt of which'xs
hereby acknowledged, and in further consideration of the covenants

~ A. CITCO agrees:

~ 1.) That they will erect and operate a citrus

~ pulp mill wherein such peel, pulp and seed
shall be processed.

€ 2.) CITCO sha~.l build the mill and machinery for

~ a contract price to consist of a firm price

~ for the equipment plus the addition of ware-

~ house, building, peel bin, oiZ tank, electric

~ work and other extras at their cost. In
