l.) That they shall lease to CITCO certain
lands as outlined by attached print,
uQon which ghall be built said citrus
pulp mill.
2.) That they shall deliver to CITCO all of ~
the grapefruit and orange peel, pulp and
seed as it presently cames fram the extractor
lines of their processing plant at Fort
Pierce, Florida. • ~
3.) If IRP' should run leas tha~ 300,000 boxes
in any year CITCO shall have the option to
move the machinery by paying IRF their adjusted
equity in sanae.
4,~ IRF shall grant CITCO right of way for
trucks, electric pawer and other utilities.
The parties hereto do also agree that the manaqement and
~ personnel of the parties herein shall cooperate to their mutual

Parties do further agree that the covenants herein contained
shall be binding on their heirs, auccesaors, assigns and designees.
