day of October, 1969 by and between ST. LUCIE COUNTY
BANK, as Trustee, under Trust Agreement dated the 25th
day of September, 1968 and known as Trust ?io. (1)
["Trustee"], RICHARD A. PAIN and C. ROBERT SUTHERLIN
["P & S"], S& P COMPANY ["Company"], a Delaware cor-
poration, FORT PIERCE DEVELOPMENT ASSOCIATES, LIidITED
["Limited"], an Illinois limited partnership, and
SHAMROCK VZLLAGE ASSOCIATES ["Associates"], an Illinois
~oint venture.
R E C I T A L S
On October 18, 1968, Trustee, as Lessor and
P& S as Lessee, entered into a Lease Agreement for cer-
tain property 2ocated in St. Lucie County, Florida, a
portion of which property is described on Exhibit "A"
attached hereto. P& S, as Lessee, assigned~said Lease
to Company, formerly known as Shamrock Village, Ltd. A
Memorandum of said Lease, as assigned, was recorded in

Official Records of the Public Records of St. Lucie County,
Florida, in Book 178, at Page 2935, as Document No. 181057.
On or about July 28, 1969, P& S and Company assigned
~ their interest in the Lease to Limited, formerly knowr. as
